Membership Application & Commitments

Each Person Must Complete The Membership Application Even If You Apart Of A Couple!

Must clearly show the face and physique of each person or your application will not be approved. A photo showing your smile is helpful. Nudity is not necessary. Please do not submit any pictures of genitalia.

*For single man applicants, including a shirtless photo is recommended.

The privacy and safety of Xclusive Palace and our members is our highest priority. To attend an Xclusive Palace event, you hereby agree that you have read and agree to follow our rules: 

1. Consent is mandatory. Always ask permission to touch anyone or join a scene. We have a ZERO tolerance policy for consent violations. If you violate consent with someone or make someone uncomfortable, you will be asked to leave and your membership removed. 
2. Only ask once. If someone says no to you, don’t ask again and leave them alone for the rest of the event. Respect boundaries. No means no. 
3. Protection is provided in all play areas. and use is expected. 
4. Respect the privacy of other members. Do not discuss details or share stories about members or who you saw at an event. You are welcome to discuss details or share stories of your own experience without identifying anyone else. 
5. Photos are allowed in a designated area during the arrival time window before the opening talk with consent of all parties in the photo. No crowd shots or people in the background. 
6. Illegal substances are not allowed. 
7. Money exchange for acts is not allowed. 
8. Members must demonstrate a level of self-awareness, independence, and responsibility such that they are able to interact with our community in a way that keeps themselves and everyone else safe. 

Violating these rules will result in removal from the event and cancellation of membership without compensation. 

We reserve the right to refuse or withdraw membership to any person registered in the National Sex Offender Registry or any person convicted by a court of domestic violence or sexual assault. 

By submitting your application for membership, you are agreeing to our terms and Privacy Policy.

Member Liability Waiver and Release

Parties

This Waiver and Release (“Waiver”) is entered into by and between:

Acknowledgment of Risks

The MEMBER acknowledges that attending and participating in parties/events hosted by the Club may involve inherent risks, including but not limited to:

Slip, trip, and fall hazards; crowd-related injuries; intoxication or medical emergencies; interaction with other attendees; transportation to/from the Venue; and unforeseeable conditions related to the Event or Venue.

Some activities may involve alcohol, lighting, sound, and moving equipment.

The MEMBER understands that if at any point another MEMBER or party/event volunteer makes them feel uncomfortable OR violates boundaries, the MEMBER must IMMEDIATELY notify the party/event Host while at the party/or event (NOT after the MEMBER the premises) so that a thorough investigation and all voices heard concerning the matter may be heard. Let’s keep it FAIR.

MEMBERS should REFRAIN from entering the pool or jacuzzi of on site with the consumption of alcohol which is BYOB to avoid potential injury.

MEMBERS are to refrain from taking other substances which could alter or impair their judgement, behavior or ability to give consent.

Assumption of Risk 

The MEMBER voluntarily assumes all risks, known and unknown, related to attendance at the Party/Event, whether occurring before, during, or after the Event, to the fullest extent permitted by law.

Release and Discharge

In consideration of being allowed to participate in the Party/Event, the MEMBER, on behalf of themselves and their heirs, assigns, and personal representatives, releases and discharges the Group its organizers, officers, directors, employees, volunteers, sponsors, Venue owners, and any other affiliated persons or entities (collectively, the “Released Parties”) from any and all claims, demands, actions, and liabilities, whether known or unknown, arising out of or in connection with the Member’s attendance or participation in the Event/Parties including, but not limited to negligence, personal injury, property damage, or wrongful death, to the fullest extent permitted by law.

Indemnification

The MEMBER agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to the Members attendance or participation in the Event or breach of this Waiver.

Medical Authorization and Emergency Contact 

In the event of a medical emergency, the Private Social Group may seek medical treatment for the Member if necessary.

Alcohol and Substance Policy

If alcohol is consumed, the MEMBER affirms they are of legal drinking age and will consume responsibly.

XCLUSIVE PALACE reserves the right to refuse service or remove any attendee who appears intoxicated or disruptive. No refund shall be provided or transferred to another party/event.

Compliance with Rules

The MEMBER agrees to comply with all laws, venue rules, party/event-specific guidelines, and the private social Group’s code of conduct. The reserves the right to remove any attendee at its sole discretion for behavior that endangers others or violates policies.

Governing Law and Venue 

This Waiver shall be governed by and construed in accordance with the laws of the jurisdiction in which the Event takes place, without regard to conflicts of laws principles. Any disputes shall be resolved in the courts located in the applicable jurisdiction.

Entire Agreement 

This Waiver constitutes the entire agreement between the MEMBER and the Released Parties regarding the subject matter hereof and supersedes all prior negotiations, understandings, and agreements.

Severability

If any provision of this Waiver is held unenforceable, the remaining provisions shall remain in full force and effect.

Acknowledgment of Readiness

By signing below, the Member confirms that they have read, understood, and voluntarily agree to be bound by the terms of this Waiver.

Non Disclosure Agreement XCLUSIVE PALACE 

Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (the “Agreement”) is entered into as of (Auto Populated Date) by and between (Member Name)

Disclosing Party:** XCLUSIVE PALACE,“Disclosing

Collectively referred to as the “Parties” and individually as a “Party.”

Purpose

The Parties wish to explore a potential membership relationship involving attending XCLUSIVE PALACE private member-only social group parties/events for networking and recreational purposes. In connection with this purpose, the members agrees to refrain from sharing publically information with non-members of the social group regarding details of the party/event, identities of other MEMBERS or Host(s) present at the party, vendors or volunteer staff, this information is deemed as “confidential.”

Definition of Confidential Information

“Confidential Information” means all non-public information disclosed by the Disclosing Party to the Receiving Party, whether disclosed orally, visually, or in writing, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to: business plans, strategies, and projections financial data product designs and specifications customer lists and supplier information software, source code, and technical data trade secrets.

Obligations of Receiving Party

The Receiving Party agrees to:

Maintain the confidentiality of the Confidential Information with at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care.

Use the Confidential Information solely for the Purpose.

Not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except as permitted herein.

Limited disclosure to employees, contractors, or affiliates on a need-to-know basis, who are bound by confidentiality obligations no less protective than this Agreement.

Exclusions

Confidential Information does not include information that:

Was in the public domain at the time of disclosure or becomes public through no fault of the Receiving Party.

Was known to the Receiving Party prior to disclosure, as evidenced by written records.

Is rightfully received from a third party without breach of any obligation of confidentiality.

Is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information.

Is compelled to be disclosed by law or a valid court order, provided the Receiving Party gives prompt notice to the Disclosing Party and cooperates in seeking a protective order.

Term

This Agreement follows these terms:

Confidential Information remains confidential for an indefinite period of time or until the information no longer qualifies as confidential as defined herein (whichever is longer).

The Receiving Party’s duty to mask and protect Confidential Information remains in effect for the duration of this Agreement and, to the extent necessary, for the period required to protect trade secrets under applicable law.

Return or Destruction

Upon written request or termination of discussions, the Receiving Party shall promptly return or destroy all Confidential Information and certify in writing that it has complied with this obligation, subject to customary archival preservation obligations.

No License

Nothing in this Agreement conveys any rights to the Receiving Party under any patent, copyright, trademark, or other intellectual property, except as expressly set forth herein.

No Warranty

All Confidential Information is provided “as is.” The Disclosing Party makes no warranties, express or implied, regarding its accuracy or completeness.

Remedies

The Parties acknowledge that disclosure or use of Confidential Information in violation of this Agreement could cause irreparable harm. The Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies.
